These terms govern your use of SafetyFI's safety platform and related services. Please read them carefully before using our Service.

1. Agreement to Terms

Welcome to SafetyFI. By accessing or using SafetyFI Inc.'s safety platform, mobile applications, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" refer to both you and the organization.

Important: If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

SafetyFI provides a comprehensive safety platform designed to help organizations enhance emergency preparedness and response. The Service includes:

  • Emergency Alert System: One-tap panic buttons and emergency notifications to designated responders.
  • Offline Safety Protocols: Access to emergency procedures and training materials without internet connectivity.
  • Incident Reporting: Tools to document, track, and analyze safety incidents.
  • Real-Time Communication: Push notifications and alerts to keep your team informed.
  • Analytics Dashboard: Safety metrics, response time tracking, and compliance reporting.
  • Administrative Tools: User management, role-based access control, and audit trails.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Emergency Disclaimer — CRITICAL

SAFETYFI IS A SAFETY TOOL BUT DOES NOT REPLACE PROFESSIONAL EMERGENCY SERVICES.

In Case of Immediate Danger: Always contact your local emergency services (911 in the U.S., 999 in the UK, 112 in the EU, or your local emergency number) FIRST. Do not rely solely on SafetyFI for emergency response.

No Guarantee of Response: SafetyFI facilitates communication and alerting but does not guarantee that anyone will respond to an emergency alert. Response depends on many factors including network connectivity, recipient availability, and local emergency infrastructure.

No Liability for Outcomes: SafetyFI does not guarantee any particular outcome from use of our emergency features. We are not responsible for injuries, damages, or losses that may occur during an emergency, regardless of whether SafetyFI was used.

Accuracy of Information: While we strive for accuracy, location data and other information transmitted during emergencies may not be perfectly precise. Always provide clear verbal information to emergency responders when possible.

4. User Accounts and Registration

To access certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security of your password and account credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized access or security breach.
  • Not share your account credentials with others or allow others to access your account.

We reserve the right to disable any account at our discretion, including if we believe you have violated these Terms.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Misuse emergency features by triggering false or non-emergency alerts
Attempt to gain unauthorized access to the Service or its systems
Interfere with, disrupt, or create an undue burden on the Service
Use the Service to transmit harmful, fraudulent, or malicious content
Share your account credentials or allow unauthorized access
Reverse engineer, decompile, or disassemble the Service
Remove any proprietary notices or labels from the Service
Use the Service for any illegal purpose or in violation of laws
Impersonate any person or entity or misrepresent your affiliation
Harass, threaten, or harm any person through the Service

6. Subscription and Payment Terms

6.1 Subscription Plans

SafetyFI offers various subscription plans with different features and pricing. Current pricing is available on our website or through your account dashboard. We reserve the right to modify pricing at any time with reasonable notice.

6.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on your plan. By subscribing, you authorize us to charge your payment method automatically.

  • All fees are non-refundable except as required by law.
  • Failed payments may result in suspension of service.
  • You are responsible for maintaining current payment information.

6.3 Free Trial

We may offer a free trial period for new users. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled. Trial periods are subject to eligibility requirements and may not be available for all plans.

6.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods, except where required by applicable law.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by SafetyFI Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes in accordance with these Terms.

SafetyFI, the SafetyFI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SafetyFI Inc. You may not use such marks without our prior written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFETYFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

EMERGENCY DISCLAIMER: SafetyFI is not an emergency response service. We do not guarantee that emergency alerts will be received, acknowledged, or acted upon. We are not liable for any injuries, damages, or losses resulting from emergency situations, including but not limited to delays in response, failure of technology, or inaccuracies in location data.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to SafetyFI in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100) if you have not paid anything.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free.
  • Defects or errors will be corrected.
  • The Service or its servers are free of viruses or harmful components.
  • Emergency alerts will always be delivered successfully or timely.
  • Location data or other information will be accurate or reliable.

10. Indemnification

You agree to indemnify, defend, and hold harmless SafetyFI Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your misuse of emergency features; or (d) your infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination:

  • Your right to use the Service will immediately cease.
  • All licenses granted to you will terminate.
  • You must stop all use of the Service.
  • We may delete your account and associated data, subject to legal retention requirements.
  • Provisions of these Terms that by their nature should survive termination will survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the federal or state courts located in Wilmington, Delaware. You consent to the personal jurisdiction of these courts.

For disputes involving claims under $10,000, you may elect to pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending email notification to registered users
  • Displaying in-app notices

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Service.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and SafetyFI regarding the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

Force Majeure: We are not liable for failures or delays in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
